Article I — Introduction and Acceptance

These Terms of Service (the Terms) constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Shandong Shizheng Network Technology Co., Ltd., a company organized under the laws of the People's Republic of China, with its registered address at Room 1-102, Building 3, European City, Changjiang Road, Nancheng Subdistrict, Mudan District, Heze, Shandong 274000, China, operating under the trade name State Record (hereinafter referred to as State Record, we, us, or our). These Terms govern your access to and use of the website located at staterecord.mom and any related subdomains, services, applications, content, and functionality offered through the website (collectively, the Services).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

The Services are intended for users who are at least 18 years of age. By using the Services, you represent and warrant that you are of legal age to form a binding contract and that you are not a person barred from receiving services under the laws of the People's Republic of China, the United States, or any other applicable jurisdiction. If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

Article II — Services Description

State Record provides professional computer systems design, network architecture consulting, digital infrastructure planning, technology advisory, and related services as described on the Services (the Professional Services). The description of Professional Services on the website is for informational purposes and does not constitute a binding offer. Any engagement for Professional Services shall be governed by a separate written agreement executed by both parties (a Service Agreement). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to the Professional Services governed by it.

The website itself provides informational content, contact forms, and other features that facilitate communication between you and State Record. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

Article III — User Obligations and Conduct

By using the Services, you agree to the following obligations:

3.1 Accurate Information

You agree to provide true, accurate, current, and complete information when using any forms or communication features on the Services, and to promptly update such information as necessary. You are solely responsible for the accuracy of any information you submit through the Services.

3.2 Lawful Use

You agree to use the Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations, including but not limited to the Cybersecurity Law of the People's Republic of China, the Data Security Law of the People's Republic of China, and applicable export control laws. You shall not use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.

3.3 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempting to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means.
  • Using any automated means, including robots, spiders, crawlers, scrapers, or other automatic devices, to access, acquire, copy, or monitor any portion of the Services without our express prior written permission.
  • Uploading, transmitting, or distributing any viruses, worms, Trojan horses, malware, ransomware, or other harmful or destructive code designed to interrupt, destroy, or limit the functionality of any software, hardware, or equipment.
  • Engaging in any activity that imposes an unreasonable or disproportionately large load on our infrastructure, as determined by us in our sole discretion.
  • Using the Services to transmit, distribute, or store any material that is unlawful, defamatory, libelous, obscene, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Using the Services for any commercial purpose not expressly authorized by State Record, including reselling access to the Services or incorporating any content from the Services into a competing product or service.
  • Removing, circumventing, disabling, or otherwise interfering with any security-related features of the Services or features that enforce limitations on use of the Services.

Article IV — Intellectual Property Rights

4.1 Our Intellectual Property

Unless otherwise indicated, the Services and all content, features, and functionality comprising the Services — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, code, architecture, design, layout, and the selection and arrangement thereof (collectively, the Content) — are owned by State Record, its licensors, or other providers of such material and are protected by the copyright, trademark, patent, trade secret, and other intellectual property laws of the People's Republic of China, the United States, and applicable international conventions.

The trade names State Record, 山东史政网络科技有限公司, and Shandong Shizheng Network Technology Co., Ltd., and all related names, logos, product and service names, designs, and slogans are trademarks of State Record or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

4.2 Limited License

Subject to your compliance with these Terms, State Record grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include any right to: (a) reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as incidental to normal web browsing usage; (b) use any Content for any commercial purpose; or (c) delete or alter any copyright, trademark, or other proprietary rights notices from copies of Content.

4.3 User Submissions

By submitting any information, content, or materials to us through the Services, including through the contact form or email (collectively, Submissions), you grant State Record a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions for the purpose of providing and improving the Services and responding to your inquiries. You represent and warrant that you own or have the necessary rights to all Submissions and that our use of Submissions as permitted under these Terms will not violate any third-party rights.

Article V — Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STATE RECORD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, STATE RECORD DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (E) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

THE CONTENT ON THE SERVICES IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY. IT DOES NOT CONSTITUTE PROFESSIONAL ADVICE, AND YOU SHOULD NOT RELY SOLELY ON SUCH CONTENT FOR MAKING BUSINESS, LEGAL, TECHNICAL, OR OTHER DECISIONS. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS FOR ADVICE TAILORED TO YOUR SPECIFIC CIRCUMSTANCES.

Article VI — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATE RECORD, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF STATE RECORD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STATE RECORD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF ONE HUNDRED UNITED STATES DOLLARS ($100.00); OR (B) THE AMOUNTS PAID BY YOU TO STATE RECORD, IF ANY, DURING THE TWELVE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, STATE RECORD'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Article VII — Indemnification

You agree to defend, indemnify, and hold harmless State Record, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your infringement or misappropriation of any intellectual property, privacy, or other right of any third party; or (e) any Submissions you provide through the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you shall cooperate with us in asserting any available defenses.

Article VIII — Third-Party Links and Content

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by State Record. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not endorse, warrant, or make any representations regarding the accuracy, completeness, or reliability of any content available on or through any third-party website or service. You acknowledge and agree that State Record shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any third-party website or service. We strongly advise you to review the terms of service and privacy policies of any third-party website or service you visit.

Article IX — Termination

These Terms shall remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without prior notice or liability, to: (a) terminate or suspend your access to all or any part of the Services for any reason or no reason, including without limitation for violation of these Terms; and (b) remove, disable, or block access to any Content or Submissions at any time.

Upon termination, your right to use the Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination shall not limit any of State Record's rights or remedies at law or in equity.

If you wish to terminate your agreement to these Terms, you must discontinue use of the Services and delete all copies of Content obtained from the Services. You may also contact us with a request to delete any personal information we hold about you, subject to our Privacy Policy and applicable law.

Article X — Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Services shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

10.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting State Record at the address provided in Article XII and engaging in good-faith negotiations for a period of at least 60 days. The parties shall each designate a representative with decision-making authority to participate in such negotiations.

10.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, interpretation, breach, or termination thereof, that is not resolved through informal negotiations shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current Arbitration Rules. The seat of arbitration shall be Beijing, China. The arbitration shall be conducted in the English language. The arbitral award shall be final and binding upon both parties and may be enforced in any court of competent jurisdiction.

10.4 Exceptions

Notwithstanding the foregoing, State Record may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent imminent harm, without the requirement of posting bond or proving actual damages. You agree that any such action may be brought in the courts of Heze, Shandong, China, and you consent to the personal jurisdiction of such courts for such purposes.

10.5 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against State Record.

Article XI — General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement executed between you and State Record, constitute the entire agreement between you and State Record concerning your use of the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.

11.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not so modifiable, shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity of any other provision.

11.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by State Record to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver must be in writing and signed by an authorized representative of State Record to be effective.

11.4 Assignment

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. State Record may assign or transfer these Terms, or any of its rights or obligations hereunder, without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

11.5 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, fiduciary, or employment relationship between you and State Record. Neither party has the authority to bind the other or to incur any obligation on the other's behalf.

11.6 Force Majeure

State Record shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, embargo, civil disturbance, fire, flood, earthquake, hurricane, epidemic, pandemic, labor dispute, governmental action, failure of telecommunications or Internet infrastructure, or failure of third-party service providers.

11.7 Notices

Any notice required or permitted under these Terms shall be in writing and: (a) if to State Record, sent to the address provided in Article XII or to such other address as State Record may designate from time to time; and (b) if to you, sent to the email address or postal address you provided through the Services, or by posting on the Services. Notice shall be deemed given on the date of electronic transmission, or five business days after the date of mailing if sent by postal mail.

11.8 Amendments

State Record reserves the right to amend these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised effective date, and, where we have contact information on file, through a notice sent to the email address you provided. Changes shall be effective immediately upon posting unless otherwise specified. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
